ARTICLE I
 

It is resolved to constitute a cultural, educational, economic and charitable organization, with the objective of promoting welfare, growth and progress of the Sikh community in particular, and the human race in general.

ARTICLE II: NAME
 

The organization shall be known as the "Association of Sikh Professionals", also known as (A.S.P.).

ARTICLE III: PURPOSE
 

The Association of Sikh Professionals is organized exclusively for charitable, educational, religious or scientific purposes within the meaning of section 501(c)(3) of the Internal Revenue Code.
  1. To organize and establish a non-profit association of working and professional Sikhs with a view to enhance individual and collective well-being of Sikhs in all parts of the world.
  2. To establish a "Think Tank," and study social, cultural and economic dynamics affecting the Sikh community in general in the U.S.A.
  3. To channel collective talents of the Sikh community and harness them for the furtherance of Sikh well-being and interests.
  4. To promote a better understanding within America and citizens of other countries and project a positive image and profile of the Sikh community.
  5. To have a forum which will act as a reference and a resource center to those interested in knowing about Sikhs.
  6. To support worthwhile charitable causes in the spirit of Sikh teachings and beliefs.
  7. To coordinate with and support other like minded Sikh organizations and provide them with necessary data as and when appropriate.

ARTICLE IV: MEMBERSHIP
 

1.There shall be seven (7) categories of memberships available.

(a) Permanent Trustees (Voting)
(b) Full member (Voting)
(c) Associate Member (Non-Voting)
(d) Junior Associate Member (Non-Voting)
(e) Emeritus Member (Voting)
(f) Spousal Member (Voting)
(h) Patron Member

The membership is open to all Sikh professionals who believe in the teachings of Sikhism. Application for admission is to be made by filling in the prescribed application form, (see appendix A).

2. Each prospective member must be nominated and recommended by two members of A.S.P. and accepted by majority of the Board of Trustees. Each prospective new member will be notified in writing of the results of the Board's action. The dues are to be paid upon acceptance of the applicant as a member to the Association.

3. Membership dues are as follows:

a. Permanent Trustee - $2000/annum. Full members with voting privileges and shall be eligible for a seat on the Board of Trustees of A.S.P. (see Article V, Section 1, Permanent Trustee). Permanent Trustee must be a member in good standing at all times. If this member is unable to meet his / her yearly dues for two (2) consecutive years, he / she becomes an inactive member with no voting rights.
b. Full Member - $1,000/annum. Full members with voting privileges and shall be eligible for a seat on the Board of Trustees of A.S.P. (see Article V, Section 1).
c. Associate Member - $500/annum. Associate members will have all the rights of a full member except voting privileges.
d. Junior Associate Member - $200/annum. All Sikh individuals between the ages of 18 - 30. Full time students shall be exempt from paying dues. They shall have no voting rights.
e. Spousal Member: Married spouses of Permanent Trustees, Emeritus Members and Full members will be non-paying voting members. The spouses of the associate and junior associate members will be non-paying, non-voting members.
f. Any member in any category can change his status on fulfilling dues criteria and upon approval of the Board at any time.
g. All membership dues are payable by December 31st of each year. The financial year will relate to the calendar year. Members are required to abide by the provision of A.S.P. at all times. In case, a member is unable to pay the dues for reason of financial hardship or other unusual circumstances, the member must inform an appropriate officer of the association to seek deferment of dues from the association.

4. Patron Member: Any distinguished person can be requested to become a patron of A.S.P. upon recommendation by the Executive Committee and unanimous decision of the Board. The patron will have only an advisory role to the Board and the Executive Committee or may be providing complimentary services to the association.

5. Emeritus Member: Upon paying thirty thousand dollars ($30,000) to A.S.P. during a lifetime in lump sum or over the years, any member will be exempt from any further dues and be granted "Emeritus" membership status, if desired. Emeritus members will have full voting rights. Permanent Trustees who are granted 'Emeritus' status will remain as Permanent Trustees as long as they desire.

ARTICLE V: ORGANIZATIONAL STRUCTURE
 

The A.S.P. will have the following administrative structure:

1. BOARD OF TRUSTEES

The names of the current Permanent Board of Trustees are as follows:

5. Pavitar Singh (IL)
6. Daljeet Singh (IL)
7. J. S. Soin (WI)

10.Guljit Singh (IL)

The total number of Trustees will be limited to fifteen (15) only. The Board of Trustees will consist of no more than 10 permanent and 5 nominated trustees.

The Board of Trustees will be responsible for providing overall strategic direction to the organization and the Executive Committee at large. They must meet at least once a year, preferably at the time of the annual meeting for:

- approval of the budget as presented by the President of the Executive Committee
- taking up any nominations for Trustee positions
- approval of the newly formed Executive team every two years
- receive nomination and approval of Chairperson of Board of Trustees
- any conflict resolution. The Permanent Board of Trustees shall have the final word even up to the dissolution of the Executive Committee if an extreme situation arises.

The meeting can be conducted by, meeting at a given place or by using any modern communication tools like teleconferencing, faxes, e-mails, etc.

Permanent Trustee: The position of the Permanent Trustee shall be considered permanent except in the following circumstances:

- Death
- Permanent disability
- Voluntary resignation
- Violation of the rules, constitution and by-laws of A.S.P. or indulges in activities contrary to the interest of the organization.

Replacement of a Permanent Trustee:

The vacancy of the permanent Trustee will be filled by nomination from a Permanent Trustee
with unanimous approval by all the Permanent Trustees. The selection of a trustee will be based
upon:

- the eligible candidate's services to the Sikh community
- commitment to the A.S.P. ideals.
- payment of annual dues of $2000/yr. for at least four (4) continuous years or must have contributed $8,000 towards ASP membership dues and be a current Full Member in good standing. In special cases, the Permanent Trustees can vote to waive this requirement.

Trustee's replacement will be first selected from the current membership.

Nominated Trustee:

Nominated Trustee will serve a term of two (2) years. Nominated Trustee can be re- nominated for another two (2) year term (a maximum of 4 years at one time). This person can be nominated again after a gap of 2 years. Any full dues paying member in good standing can make nominations. This nomination must be approved by at least 80% of Permanent Trustees. The selection of a Nominated Trustee will be based upon:
- current status as an A.S.P. member
- commitment to A.S.P. ideals
- services to the Sikh community at large

In special cases, the Permanent Trustees can vote to waive this requirement.


Chairperson, Board of Trustees:

Chairperson, Board of Trustees shall be elected preferably at the annual meeting. The Chairperson shall serve the term of 2 years. The post shall be offered to other Trustees, on a rotational basis.

The Nominating Committee:

The nominating committee shall be a committee of 3 permanent trustees. The Board of Trustees shall appoint them. Their duty shall be:

I. To receive nominations and recommend membership to the post of nominated trustees. The nominating committee each year shall receive requests and recommendations from the general membership for the post of nominated trustees. A nominated trustee shall be a full member who is current in membership dues. The Nominating Committee shall then recommend to the Board of Trustees at their next annual meeting, the names of up to five nominated Trustees. All nominated positions do not have to be filled. The Permanent Board of Trustees shall have the final authority to recommend and approve the most suitable candidates to the Board of Trustees. In support of this, the nominating committee can invite written requests from those recommended, outlining their positions on the role of the A.S.P.

II. The term of each nominating committee shall expire after the following annual general meeting.

2. EXECUTIVE COMMITTEE:

The executive committee will consist of five (5) members. Three (3) of which will be from the Board of Trustees, and up to two (2) from general membership. Each member will have a term of service for two (2) years. At the end of the two (2) year term not more than three (3) members will vacate the Executive Committee and one of them must be the President. The remaining sitting members can play the same role or be given a new assignment. It is recommended they be given other positions than the one previously held.

The Executive team should be formed through consensus between existing members and voted in by the majority of membership, by a simple majority vote at the annual meeting, and then agreed to by 75% of the Board of Trustees. If a team member drops out during the term, the vacancy is to be filled with a name recommended by the President, in consultation with the Executive Committee, to the Board of Trustees.

The executive committee shall be responsible for the general day to day operations of the A.S.P. All decisions will be taken by simple majority vote, however consensus is encouraged. To facilitate proper functioning of A.S.P., Executive committee will consist of the following officers:

President
Vice-President
Treasurer
Secretary
Member-At-Large

Meetings:

General body meetings consisting of all members of A.S.P. will be held annually with due proper notice of at least two (2) months. Each meeting will be held in rotation at different regions convenient to the members. Executive committee meetings will be held as frequently as necessary but at least once a year.

Discipline:

The executive committee of the A.S.P. can dismiss any member, except the Trustees, by showing appropriate cause.

The executive committee will send a notice of such dismissal to the last known address of the member. The member will have 30 days to appeal the action of executive committee to the Board of Trustees. Any, or the following reasons may require disciplinary action:

- Disobeying and disregarding the Constitution of A.S.P.
- Willfully participating in anti-Sikh activities.
- Non-payment of membership and other dues if any, within thirty (30) days of notice.
- Participating in activities that are illegal according to the laws of United States of America.

Finances:

The source of the financial support for A.S.P. will be from

- Annual Membership fees
- Donations
- Income from activities sponsored by the A.S.P.

Assets and Savings:

All money will be deposited in appropriate banks and financially favorable institutions and investments. A complete audited report will be submitted to the members annually. The funds will be used primarily to achieve the objectives of the A.S.P. as approved by the Board of Trustees. In no condition, will any office bearer's expenses be reimbursed by A.S.P. No money will be directly or indirectly used for the benefit of any individual office holder. Funds will be budgeted annually for the selected projects. The Treasurer will sign all the checks and keep accounts. The maximum limit of a single check is $2000.00.

Reports:

A yearly progress report will be submitted by each Committee along with the financials during the Annual General Body Meeting.

Submission of decisions for approval by the Board of Trustees:

All proposals, plan, projects regarding the operation of A.S.P. must be submitted in writing for approval by the Board of Trustees. The Board of Trustees must act on the submitted proposals in a timely manner for implementation. The ultimate authority of accepting, rejecting and implementing a proposal is vested in the Board of Trustees. The decision of the Board of Trustees will be final.

Amendment to the Constitution:

The Constitution can be changed or amended only by:

a. simple majority vote of the eligible membership, and
b. 75% majority vote of the Board of Trustees, and
c. 75% of the Permanent Trustees

All the three conditions must be met and should be done by a proper formation of a Committee headed by a Permanent Board of Trustee.

ARTICLE VI: INCUREMENT OF INCOME
 

No part of the net earnings of the Association shall inure to the benefits of, or be distributable to, its members, trustees, officers or other private persons except that the Association shall be authorized and empowered to pay reasonable compensation for services rendered.

ARTICLE VII: LEGISLATIVE OR POLITICAL ACTIVITIES
 

No substantial part of the activities of the Association shall be the carrying on of propaganda or otherwise attempting to influence legislation and the Association shall not participate in or intervene (including the publishing or distribution of statements) in any political campaign on behalf of any candidate for public office.

ARTICLE VIII: OPERATIONAL LIMITATIONS
 

Not withstanding any other provisions of these articles, the association shall not carry on any other activities, not permitted to be carried on:

a. By a corporation exempt from Federal income tax under section 501(c)(3) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue Law) or,
b. By an association, contributions, to which are deductible under section 170(c)(2) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue Law).

ARTICLE IX: DISSOLUTION CLAUSE
 

Upon the dissolution of the Association, the Board of Trustees shall after paying or making provisions for the payment of all of the liabilities of the Association, dispose of all the assets of the Association exclusively for the purposes of the Association in such a manner, or to such an organization or organizations.

Organized and operated exclusively for charitable, educational, religious or scientific purposes as shall at the time qualify as an exempt organization or organizations under section 501(c)(3) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Internal Revenue Law), as the Board of Trustees shall determine.
